Da Gurus - Guru Agreement

This Guru Agreement, in combination with Da Gurus' general Terms of Service, sets forth the terms and conditions under which Da Gurus makes its Services available to you. The Terms of Service is an integral part of this Guru Agreement and is incorporated herein by reference.

The terms not defined in this Agreement will have the meanings set forth in the Terms of Service.

Your acceptance of these terms is signified by checking the "I Agree" box and then completing the on-line registration process. By doing so, you agree to be bound by all of the terms and conditions contained in this Guru Agreement and the Terms of Service. In addition to signifying your acceptance of these terms, in order to use or continue to use the Services you may be required to and you agree to provide information as requested by Da Gurus. In such an event, you consent to Da Gurus' disclosure of such information to third parties in order to verify such information (if Da Gurus chooses to conduct such verification, which it is not obligated to do) or in order to comply with federal, state or local laws or regulations.

Without limiting any other remedies, Da Gurus may suspend or terminate your account if we suspect, in our sole judgment, that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Site or have engaged in activities in violation of the terms of this Guru Agreement, the Terms of Service or related Agreements with Da Gurus. If we terminate or suspend your account because you inaccurately described your credentials, as determined by a third-party verification company, you may be responsible for the costs associated with that verification. Da Gurus also may suspend or terminate your account if we determine, in our sole judgment (which may be based in whole or in part on your acceptance rate, Seeker feedback or other Guru feedback), that you are not providing the quality of answers we determine, in our sole discretion, that is useful on the Site. If Da Gurus suspends or terminates your account, you may not open a new account (under your name, a fictitious name or someone else's name). Any monies accumulated under such an account will not be paid out and will be the property of Da Gurus.

You will be solely and fully liable and responsible for all activities and answers provided under your username and password.

Da Gurus provides a venue where you may answer questions by other members of the Site. The specific features of the Site are to be determined solely by Da Gurus and are subject to change or termination without notice. Guru has no rights in and to the Site and Services or in and to any use or continued use of such Site or Services. Da Gurus makes no representation or warranty of any kind as to the ability or willingness of other members to pay for the answers provided by Guru. You agree that any information provided in answers on the Site will not be considered confidential and may be used by Da Gurus. You hereby grant to Da Gurus a fully-paid, worldwide, royalty-free, irrevocable license to use, reproduce, display, edit, copy, modify, transmit, publicly perform or create derivative works of such content and information.

You are prohibited from negotiating payment with a user off the Site and you should not discuss with other Members how much you are paid. You are not permitted to post anything other than your profile information, answers to questions or legitimate requests for information.

By submitting the Guru Agreement and completing the on-line registration process, you represent and warrant to the following:

• You will not misrepresent yourself or create a misleading username. You will accurately describe and represent your background, skills, knowledge and your level of experience (including educational background, degrees, current business standing, business certifications, etc). You will maintain and update such information so that it remains true, accurate and complete.
• You will not provide any legal or medical advice or other professional advice or information (such as securities, tax, psychiatry, veterinary, etc) that may only lawfully be rendered or provided by a licensed professional unless you are a licensed professional in good standing and you abide by all the rules and regulations of such profession.
• In addition to the other terms and conditions of the Terms of Service and Guru Agreement, you expressly represent and warrant that you will not engage in the Restricted Activities noted in the Terms of Service
• Unless otherwise expressly stated by Da Gurus through a recognition program or otherwise, you agree and acknowledge that nothing regarding your participation on the Site will be considered as an endorsement, referral or recommendation by Da Gurus or any other Guru of you or the answers you provide and you will not, either on the Site or in any other forum or by any other means, suggest such an endorsement.

In our sole discretion, we reserve the right to place a temporary hold on your account if we have reason to believe that the funds were earned under suspicious circumstances or that the funds were derived from a suspect Seeker account. We will continue to investigate the situation until we have an adequate resolution, as determined by us, and which may require the involvement of certain third parties, including any applicable credit card company. We will make every commercially reasonable effort not to exceed a sixty days hold on your account as we investigate. In addition, we reserve the right to remove "earned" funds from your account to compensate for fraud, returns, disputed amounts, or any uncollected revenue. To the extent insufficient "earned" funds are in your account, you are required to reimburse Da Gurus in the full amount necessary to compensate for such fraud, returns, disputed amounts or uncollected revenue within fifteen (15) days of written request by Da Gurus.

You agree to indemnify, defend and hold Da Gurus, any and all parent, subsidiary, or affiliate organizations, officers, agents and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party that are in any way due to or arising out of your use of or conduct on the Service, including, without limitation, that result from any answers provided and/or relied upon on the Site. Da Gurus shall provide you reasonable notice of such claim.

No relationship (such as partnership, agent, joint venturer, or employee) between you and Da Gurus is created by this agreement or your participation on the site.
